These Terms of Service ("Terms") govern your use of Cedri, an AI-powered receptionist platform operated by Cedri Inc. ("we", "us", "our"). By creating an account or using our service, you agree to be bound by these Terms.

Service Description

Cedri provides AI-powered phone answering, appointment booking, and customer service for small and medium businesses in Canada. Our AI receptionist handles inbound calls, schedules appointments, answers frequently asked questions, and sends SMS confirmations on your behalf.

Eligibility

You must be at least 18 years old and have the legal authority to bind the business entity you register. Our service is currently available to businesses operating in Canada.

Account Responsibilities

You must provide accurate and complete business information during setup
You are responsible for maintaining the confidentiality of your account credentials
You must comply with all applicable Canadian laws including PIPEDA and CASL
You must not use the service for unlawful, fraudulent, or abusive purposes
You are responsible for all activity that occurs under your account

AI Disclosure

Cedri provides an AI-powered receptionist that answers calls on your behalf. You are responsible for determining and meeting any AI-disclosure, consent, and call-recording requirements that apply to your business and your callers, and for configuring how your agent presents itself accordingly. Calls may be recorded for quality assurance and service improvement purposes. You are responsible for ensuring your use of call recordings complies with applicable laws.

Billing & Subscriptions

Plans are billed at the start of each billing period. Subscriptions purchased on our website activate as soon as the first payment clears through our payment processor.
Subscriptions purchased through the Apple App Store (iOS app) may include an introductory free trial (currently 3 days) managed by Apple. Your Apple account is charged when the trial ends unless you cancel beforehand; you can cancel at any time in your App Store subscription settings.
Subscriptions are billed in Canadian dollars (CAD)
Payment is required via credit card at the time of subscription
Overage charges apply when your monthly call allowance is exceeded
You may purchase additional call credits at any time
You may cancel at any time; service continues through the end of your current billing period
Refunds are provided at our sole discretion

Service Limitations

While our AI receptionist is designed to handle a wide range of call scenarios, it may not handle every situation perfectly. We recommend configuring a transfer number so calls can be forwarded to a human when the AI cannot assist. Cedri is not liable for missed appointments, incorrect bookings, or other errors made by the AI receptionist.

Intellectual Property

All content, software, and technology used to provide the Cedri service is the property of Cedri Inc. or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of our service. Your business data remains your property.

Limitation of Liability

To the maximum extent permitted by law, Cedri Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising from your use of our service.

Termination

We may suspend or terminate your account for violation of these Terms or for any reason with reasonable notice. You may delete your account and request deletion of all associated data at any time. Upon termination, your right to use the service ceases immediately.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, Canada.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the service after changes constitutes acceptance of the revised Terms.
